By participating in the Shepherd Affiliate Program, you agree to be bound by the terms of this Agreement.

1. Acceptance into the Program: Participation in the Shepherd Affiliate Program is subject to the approval of Shepherd. We reserve the right to accept or reject any application at our sole discretion. We also reserve the right to terminate or suspend an Affiliate's participation in the Program for any reason, without notice.

2. Qualified Referrals: A “Qualified Referral” is defined as a referral that leads to a new client for Shepherd and results in a successfully completed and paid project. The determination of whether a referral is a Qualified Referral shall be at Shepherd’s sole discretion. You acknowledge that not all referrals will qualify as Qualified Referrals.

3. Commission and Payment: Affiliates will be eligible to receive a commission for each Qualified Referral made under the Program. Commissions will only be paid out once the project associated with the Qualified Referral is successfully completed and fully paid for by the client. The amount and terms of commission shall be determined by Shepherd and may be modified at any time without notice.

4. Tracking of Referrals: Shepherd will use reasonable efforts to track Qualified Referrals made by Affiliates. Affiliates may be required to use certain designated links or tracking codes as part of the Program. Shepherd's determination regarding tracking and qualification of referrals is final.

5. Affiliate Obligations: Affiliates shall comply with all applicable laws, rules, and regulations in relation to their participation in the Program. Affiliates shall not make any false or misleading representations regarding Shepherd’s services or engage in any activity that may be harmful to the reputation of Shepherd.

6. Intellectual Property: All intellectual property rights in and to the content, trademarks, and materials provided by Shepherd shall remain the exclusive property of Shepherd. Affiliates are granted a limited, non-exclusive, revocable license to use such materials solely for purposes of promoting Shepherd's services as part of the Program.

7. Limitation of Liability: Shepherd shall not be liable for any indirect, incidental, special or consequential damages, or any loss of revenue or profits arising under or with respect to this Agreement or the Program.

8. Termination: Shepherd reserves the right to terminate this Agreement and your participation in the Program at any time, for any reason or no reason, without notice. Upon termination, you shall cease all use of any materials provided by Shepherd as part of the Program and shall immediately cease representing yourself as an Affiliate of Shepherd.

9. Modification of Terms: Shepherd reserves the right to change, modify, or update this Agreement at any time, for any reason, without notice. Continued participation in the Program following any change constitutes acceptance of the new terms.

10. Governing Law: This Agreement shall be governed by and construed under the laws of the [Insert Jurisdiction]. Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located within Austin, Texas.

By participating in the Shepherd Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
